Terms of Service

These Terms of Service ("Terms") govern your use of bonixstudio.com (the "Site") and, together with a signed proposal or statement of work ("SOW"), your purchase of services from Bonix Studio ("Bonix," "we," "us"). By using the Site or signing an SOW, you ("Client," "you") agree to these Terms. If there is a conflict between these Terms and a signed SOW, the SOW controls for that project.

1. Services

Bonix provides website design and development, hosting and maintenance ("Care Plan"), local search optimization, marketing automation, and advertising management (together, the "Services"). The scope, deliverables, timeline and price of each project are set out in the SOW. Anything not listed in the SOW is out of scope and may be quoted separately.

Timelines in the SOW start when Bonix has received the deposit and all content and access the SOW asks the Client to provide. Delays in providing content or approvals extend the timeline accordingly.

2. Pricing, deposits and payment

• Deposit. Projects begin upon receipt of the deposit stated in the SOW (typically 50% of the project price). The deposit is credited toward the project price.
• Balance. The balance is due at launch or on the date stated in the SOW. If the Client delays launch for more than 30 days after Bonix delivers the final version for approval, the balance becomes due on that 30th day.
• Installments. Where the SOW allows installment payments, each installment is due on the date stated. If an installment is more than 10 days late, Bonix may pause work and hosting until payment is received.
• Late payments. Amounts more than 15 days overdue accrue interest at 1% per month or the maximum rate allowed by law, whichever is lower, plus reasonable collection costs.
• Prices are in US dollars and exclude any applicable sales or use tax, which the Client is responsible for where it applies.
• Third-party costs — domain registration, premium plugins, stock photography, advertising spend and similar — are paid by the Client directly or reimbursed at cost, as stated in the SOW.

3. Care Plan and other recurring services — automatic renewal

Care Plans, local SEO, automation and advertising management are billed monthly in advance and renew automatically each month until cancelled. In accordance with California's Automatic Renewal Law (Business and Professions Code § 17600 et seq.):

• the recurring charge, billing frequency and the fact that it continues until cancelled are stated in the SOW and on your invoice before you are charged;
• you may cancel at any time by emailing billing@bonixstudio.com or replying to any invoice; cancellation takes effect at the end of the current billing period and no further charges are made;
• we will notify you by email at least 15 days before any price change to a recurring service, and you may cancel before it takes effect;
• if an SOW includes a minimum term (for example, three months for advertising management), cancellation takes effect at the end of that term.

When a Care Plan ends, Bonix provides the Client's site files and a copy of any database within 10 business days on request, and gives reasonable assistance (up to two hours) to transfer hosting. Hosting on Bonix infrastructure ends 30 days after cancellation.

4. Client responsibilities

The Client agrees to: provide content, images, logos, access credentials and approvals within the times stated in the SOW; ensure it has the right to use all content it provides; review deliverables and give feedback within 5 business days of each delivery; and keep its own contact and billing information current. The Client is responsible for the accuracy of business information (hours, licenses, pricing) shown on its site and for compliance with laws that apply to its own business, including licensing disclosures, health-care and privacy rules, and advertising regulations.

5. Revisions and approvals

Each SOW includes a stated number of revision rounds. A revision round is a consolidated set of change requests to a delivered version. Additional rounds or changes to approved work are billed at Bonix's hourly rate stated in the SOW. Deliverables not rejected in writing within 5 business days of delivery are deemed approved.

6. Intellectual property

• Client content. The Client keeps ownership of all content, trademarks and materials it provides and grants Bonix a license to use them to perform the Services and, subject to Section 7, to showcase the work.
• Deliverables. Upon full payment of all amounts due for a project, Bonix assigns to the Client all rights in the final website design, custom code and written copy created for that project. Until full payment, Bonix retains ownership and grants the Client a revocable license to use the deliverables.
• Bonix tools. Bonix keeps ownership of its pre-existing tools, components, templates, frameworks and know-how ("Bonix Tools"). Where Bonix Tools are included in a deliverable, the Client receives a perpetual, non-exclusive license to use them as part of that deliverable.
• Third-party materials. Open-source software, fonts, stock images and third-party services remain subject to their own licenses.

7. Portfolio and credit

Unless the Client opts out in writing before launch, Bonix may display the completed work, the Client's name and logo in its portfolio and marketing, and may place a discreet "Site by Bonix Studio" link in the site footer. The Client may ask for the link's removal at any time.

8. Hosting, uptime and third parties

Bonix hosts sites on reputable third-party infrastructure. Bonix targets 99.9% monthly availability but does not guarantee uninterrupted service; outages caused by third-party providers, the Client's actions, or force majeure are excluded. Bonix is not responsible for the availability, policies or fees of third-party platforms (domain registrars, Google, Meta, telephony or SMS providers, payment processors) or for the outcome of third-party account reviews.

9. Advertising, SEO and results

Bonix will use professional skill and care in advertising management, SEO and automation. Because results depend on factors outside Bonix's control — market conditions, competition, platform algorithms, the Client's pricing and reputation — Bonix does not guarantee any specific ranking, traffic, lead volume, cost per lead or revenue. Advertising spend is paid by the Client to the platform directly; Bonix's fee is for management only.

10. Confidentiality

Each party keeps the other's non-public business information confidential and uses it only to perform under these Terms, for two years after the relationship ends, except where disclosure is required by law.

11. Cancellation and refunds

• Before work starts: the deposit is refundable less any third-party costs already incurred.
• After work starts: the deposit is non-refundable. If the Client cancels a project in progress, the Client pays for work completed to date at Bonix's hourly rate, not to exceed the project price, and receives the work product in its then-current state upon payment.
• Recurring services: cancellation is governed by Section 3; charges for the current billing period are not refunded.
• By Bonix: Bonix may end a project or recurring service on 15 days' written notice, refunding any prepaid amounts for services not yet delivered.

12. Warranties and disclaimer

Bonix warrants that the Services will be performed in a professional manner and that, for 30 days after launch, it will correct defects in its custom code at no charge. EXCEPT AS STATED IN THESE TERMS, THE SERVICES, THE SITE AND ALL DELIVERABLES ARE PROVIDED "AS IS," AND BONIX DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BONIX'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY THE CLIENT TO BONIX IN THE 12 MONTHS BEFORE THE CLAIM. BONIX IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THEIR POSSIBILITY. Some jurisdictions do not allow certain limitations; in those jurisdictions Bonix's liability is limited to the smallest amount permitted.

14. Indemnification

The Client will defend and indemnify Bonix against third-party claims arising from content or materials the Client provided, the Client's products or services, or the Client's violation of law. Bonix will defend and indemnify the Client against third-party claims that custom code or copy created by Bonix infringes a US copyright or trademark, provided the Client notifies Bonix promptly and lets Bonix control the defense.

15. Use of the Site

You may not use the Site to send spam, attempt to gain unauthorized access, scrape content at scale, or interfere with its operation. Content on the Site is owned by Bonix or its licensors and may not be copied without permission, except for the Client's own project materials.

16. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. The parties will first try in good faith to resolve any dispute by direct discussion for 30 days. Any dispute not resolved that way will be brought exclusively in the state or federal courts located in San Diego County, California, and each party consents to their jurisdiction. Either party may seek injunctive relief in any court to protect its intellectual property. If a court finds any provision unenforceable, the rest of these Terms remain in effect.

17. General

These Terms and the applicable SOW are the entire agreement between the parties on their subject matter and supersede prior discussions. Amendments must be in writing (email is sufficient). Neither party may assign these Terms without the other's consent, except to a successor of its business. Neither party is liable for delays caused by events beyond its reasonable control. Notices are effective when sent to the email addresses on the SOW. Bonix may update these Terms for future projects by posting a new version; changes do not affect an SOW already signed.
